When you become a distributor of SensingTEK, you are available to apply distributor ID and password in order to download data and share the information from web site. By accessing and using the SensingTEK distributor section, you accept and agree to be bound by the terms and provision. If you are not officially contracted to be our distributor or you are not our distributor, please immediately stop using distributor section service.

 

 

In consideration of your use of the distributor section Services, you agree to below items:

(a) Provide true, accurate, current and complete information about yourself as prompted by the SensingTEK distributor registration form(the "Registration Data").

(b) Maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or SensingTEK has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, SensingTEK has the right to suspend or terminate your ID and refuse any and all current or future use of the SensingTEK distributor section service.

 

 

Registration Data and certain other information about you are subject to our applicable privacy policy.

 

 

You will receive a password and ID designation upon completing the SensingTEK distributor section Service's registration process. You are responsible for maintaining the confidentiality of the password and ID and are fully responsible for all activities that occur under your password or ID. You agree to

(a) Immediately notify SensingTEK of any unauthorized use of your password or ID or any other breach of security.

(b) Ensure that you exit from your ID at the end of each session. SensingTEK cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 4.

 

 

You understand that all information, data, text, software, photographs, graphics, video, messages, tags, or other materials("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not SensingTEK, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the SensingTEK Services. SensingTEK does not control the Content posted via the SensingTEK Services and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the SensingTEK Services, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will SensingTEK be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the SensingTEK Services.

 

 

Occasionally, the system may be breakdown or failure, which cause any inconveniences in operation, data lost, error, being corrupted by others, or other financial lost. Your are recommended to comply with proper protection while using SensingTEK services. SensingTEK will not be liable for any lost while using SenginTEK services unless it is by deliberate intention or serious mistake.

 

 

SensingTEK is not responsible for any software or data downloaded through use of this services or link to other website. It is recommended that one should consider seriously about the consequences and to see if the information derived as above are adequate, effective, correct, integrity, and violates others rights to prevent any damage.(eg. Computer system damage or saved data missing, etc.) SensingTEK will not be liable for any damage caused by improper download.

 

 

SensingTEK will not be able to guarantee the accuracy of the information and suggestion derived from SensingTEK services or other websites linked from SensingTEK services. SensingTEK obtains all rights to edit or delete the information or suggestion provided in the services. Before coming up any plan or decisions, you are recommended to consult professions for opinion base on individual needs.

 

 

You acknowledge and agree that the SensingTEK Services and any necessary software used in connection with the SensingTEK Services("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in advertisements or information presented to you through the SensingTEK Services or by advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly permitted by applicable law or as authorized by SensingTEK or the applicable licensor(such as an advertiser), you agree not to modify, rent, lease, loan, sell, distribute, transmit, broadcast, publicly perform or create derivative works based on the SensingTEK Services, such Content or the Software, in whole or in part.

 

 

If you have no legal right to authorize others to use, modify, redo, publicly broadcast, revise, distribute, publish, publicly released some data, and the right to delegate the aforementioned to third party, please do not upload, transmit, input or provide the information to SensingTEK. Once any data being uploaded, transmitted, input or made available to SensingTEK, it will be considered as authorizing SensingTEK to unconditionally use, modify, redo, publicly broadcast, revise, distribute, publish, publicly release the information, and delegate the above mentioned rights to others without any objection. You guarantee SensingTEK to use, modify, redo, publicly broadcast, revise, distribute, publish, public release, delegated authority of such information will not infringe any third party's intellectual property rights; otherwise, you should be liable for any damage occurred to SensingTEK.

 

 

You agree SensingTEK to terminate your access to your ID, password, or right to use SensingTEK services base on its sole discretion, for any reason, including but not limited to lack of use, or SensingTEK believes that you have violated an express provision of this Terms of Service and the spirit. Service of any "Distributor Content" will also be removed and deleted. When any exceptions occurred at downloading, SensingTEK has the right to verify with the user about the usage condition; if the usual usage persists, SensingTEK obtains the right to unilaterally terminate the services. Clients through this service to download the data, shall not be transferred or re-licensed to third parties, and shall not carry out any form of public display, sell or transfer non-specific third party. SensingTEK may also in their sole discretion, in cases with or without notice at any time to terminate the service. You agree that any requirement under this provision of the Terms of Service, without prior notice may terminate, you acknowledge and agree that, SensingTEK may immediately deactivate or delete your ID or your ID, all related information and files, and the cessation of the services usage. In addition, you agree that if the termination of the Service disabled, SensingTEK to you or any third party shall not be liable.

 

 

The interpretation of this agreement and the trial book, as well as any disputes related to this agreement shall be handled in accordance with the laws of the Republic of China and in Taiwan Hsinchu District Court for the first instance court of competent jurisdiction.
